Exit/Profit strategy
The Exit Strategy for the investment represents an opportunity offered by the Promoter to individual investors. It consists of the Promoter’s right to repurchase the shares held by investors in the special purpose vehicle (SPV), upon the occurrence of certain conditions.
In other words, the Promoter will have a call option on the shares subscribed by the crowd, which may be exercised under the following terms:
- During 2027, the Promoter may repurchase the shares at the same value paid during the capital increase—through which investors acquired ownership of the shares—plus a 40% premium, and in any case not lower than the value determined by law in the event of withdrawal.
- The repurchase value will include a 50% premium in 2028, a 60% premium in 2029, and a 70% premium in 2030.

Senior Technical Assistant in charge of analyzing telemetry data to interpret motorcycle behavior, vehicle dynamics, and participants’ riding style.
Rodolfo Gaggiolo - Mechanical Engineer
Head of the Technical Department, responsible for the development and fine-tuning of vehicles and components, performance data analysis, and collaboration with the Riders Coaches to optimize setup and manage adjustments during track days.
Roberto Rolfo - Professional Rider
As Team Leader and Rider Coach, he will be responsible for coordinating the other staff members, managing the technical organization of the track days, motivating participants, and overseeing all on-track training phases.
